1. Acceptance of Terms

By accessing or using SatoshiBro ("Service"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our Service.

2. Eligibility

You must be at least 18 years old to use this Service. By using this Service, you represent that you are at least 18 years of age. This Service is not available to residents of certain jurisdictions due to legal restrictions.

Disclaimer: We do not perform KYC (Know Your Customer) verification. You are solely responsible for ensuring your use complies with applicable laws in your jurisdiction.

3. Services Description

SatoshiBro provides a technology tool for creating SPL tokens on the Solana blockchain. We are NOT a broker, dealer, investment advisor, or financial institution. We do NOT provide investment advice, financial advice, or legal advice.

Our Service automates the technical process of token creation. You retain full ownership and control of your token and any associated smart contracts.

4. Platform Fee

We charge a flat platform fee of 0.05 SOL per token created. This fee is:

• Non-refundable once the token creation transaction is submitted to the blockchain
• Charged in SOL only (not USD-denominated)
• Collected atomically with your token transaction (success = charged, failure = not charged)

Additional network fees (approximately 0.002 SOL) apply for Solana blockchain transactions. These fees go to Solana validators, not to SatoshiBro.

5. Non-Custodial Disclaimer

SatoshiBro is NON-CUSTODIAL. We never hold, control, or have access to your funds, private keys, or wallet. You maintain full custody of your assets at all times.

We build and prepare transactions, but you sign with your own wallet. We cannot move your funds without your explicit signature.

6. Token Creation Responsibility

You retain 100% ownership and legal responsibility for any token you create using our Service. This includes but is not limited to:

• Compliance with securities laws in your jurisdiction
• Ensuring your token does not infringe on intellectual property rights
• All marketing materials, representations, and communications about your token
• Any tax obligations arising from token creation or trading
• Liability to token holders for any misrepresentations or failures

7. Prohibited Uses

You may NOT use our Service to create tokens that:

• Violate applicable securities laws (unless properly licensed)
• Infringe on trademarks, copyrights, or other intellectual property
• Are used for fraud, scams, or illegal activities
• Mislead investors about the token's purpose, backing, or team
• Impersonate legitimate brands, celebrities, or projects without permission

We reserve the right to refuse service and report violations to authorities.

8. US Persons Restriction

IMPORTANT: The presale and fairlaunch features are NOT available to U.S. persons as defined in Regulation S under the U.S. Securities Act of 1933, as amended.

If you are a U.S. person, you may only use our basic token creation service (standard meme coins). You may NOT participate in presales or fairlaunch token sales.

9. Intellectual Property

Any logo, branding, or artwork generated by our AI is provided for your use with your token. However:

• You own the generated AI artwork for your token
• You are responsible for ensuring it does not infringe on existing trademarks
• The "SatoshiBro" name, logo, and branding are our property and may not be used without permission

10. Limitation of Liability

SatoshiBro is not liable for any damages arising from:

• Your token's performance, value, or trading activity
• Regulatory actions or legal disputes related to your token
• Blockchain network failures, congestion, or transaction failures
• Wallet security breaches or lost private keys
• Third-party service interruptions (RPC providers, etc.)

Our maximum liability is limited to the platform fee you paid (0.05 SOL).

11. Dispute Resolution

Any disputes arising from these terms shall be resolved through binding arbitration. The governing law shall be the laws of [Jurisdiction - to be determined].

12. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the new terms.
